Backdrop Terms of use

The Backdrop User Agreement (hereinafter referred to as "this Agreement") is a legal agreement between you and Backdrop regarding the use of various services provided by Backdrop. Please pay attention to and carefully review it. Please ensure that you have carefully read, fully understood, and unreservedly accepted all terms of this agreement before using Backdrop services. Your acceptance and agreement to this agreement shall be deemed as your agreement and acceptance of other Backdrop rules. Your acceptance and agreement to any other Backdrop rules shall also be deemed as your acceptance and agreement to this agreement. If you are underage, please read and judge whether you agree to this agreement with the accompaniment of your legal guardian, and pay special attention to the provisions for minors. The exercise and performance of the rights and obligations under this agreement by minors shall be deemed to have been recognized by their legal guardians.

The modified content will form an integral part of this agreement and you should also comply with it. If you have any objections to the revised agreement, please immediately stop logging in and using Backdrop and related services. If you log in or continue to use Backdrop and related services, it will be deemed that you have fully read, understood, and accepted the updated agreement and are willing to be bound by it.

1. Content Authorization License Agreement

This agreement is an authorization license agreement signed between Backdrop and the authorized party, which stipulates the way in which the authorized party uses Backdrop authorized products such as images, illustrations, design materials, etc. (hereinafter referred to individually and collectively as "Content"). If the authorized person uses the content provided by Backdrop, it shall be deemed that the authorized person accepts the terms of this agreement.

2. Restricted use.

2.1 Illegal use is prohibited. The authorized person shall not use the content in an obscene, defamatory, or other illegal form or in violation of any applicable regulations (including any restrictions or credentials issued by any sports league or regulatory agency regarding sports content) or industry norms.

2.2 The edited content shall not be used for commercial purposes. Unless otherwise specified in Backdrop's sales order or granted additional rights in a separate authorization agreement, the authorized party shall not use the content marked as "edited" for any commercial, promotional, soft article, endorsement, advertising or sales purposes. This type of content has not obtained permission from the model or property owner.

2.3 Do not tamper with the edited content. The content marked as' edited 'may be cropped or otherwise edited for technical quality, provided that the editorial integrity of the content is not affected, and the authorized person shall not alter the edited content in any other way.

2.4 It shall not be used in the form of independent files. The authorized person cannot use the content in any way that allows others to download, extract, or redistribute the content in the form of independent files (i.e. only using the content file itself, separate from the project or end use).

3. User account.

The authorized person is responsible for tracking all activities of each user account, and agrees to: (a) keep all passwords and usernames confidential; (b) Notify Backdrop immediately upon any unauthorized use or other breach of confidentiality; And (c) assume full responsibility for the activities that occur under each user account. Backdrop reserves the right to monitor user activities to ensure compliance with the terms of this agreement. If Backdrop determines that the authorized person has violated this provision or any other terms of this agreement, Backdrop may suspend the login of the authorized person's account and seek further legal remedies.

4. Intellectual property rights.

4.1 Who is the owner of the content?

Unless otherwise specified on the Backdrop website, all intellectual property rights of authorized content belong to Backdrop or its content providers, and Backdrop and its content providers reserve all rights not explicitly granted in this agreement.

4.2 Can the authorized person use the name or identifier of Backdrop or its content provider?

The authorized party may use Backdrop and/or its content provider's name/designation for the purpose of indicating the source, but shall not use its name/designation, logo, and trademark in any other form without prior written consent.

5 Termination/Withdrawal

5.1 Termination.

If the authorized party violates any terms of this agreement or any other agreement signed with Backdrop, Backdrop may terminate this agreement at any time. In such a case, the authorized party must immediately cease using the content, delete or destroy any copies, and upon request, confirm in writing to Backdrop that the authorized party has complied with the above requirements.

5.2 Termination of Social Media.

If the authorized person uses content on any social media platform or other third-party website for its own purposes or in any way that violates this agreement (or declares such intention of use), the authorization for such use shall immediately terminate. In this case, upon request by Backdrop, the authorized person agrees to remove any content from the platform or website.

6. Guidelines for Copyright Protection Complaints

The software products produced or operated by Backdrop may contain information uploaded by many users, information published by a third party, and other information from the Internet. To protect the legitimate rights of the copyright owner, Backdrop will protect the copyright of the works in the information platform operated by Backdrop through the following ways:

6.1 Notification requirements:

If the rights holder believes that the relevant information, search or linked content on Backdrop's information platform violates their legitimate rights and interests, they may submit a written notice to us requesting the deletion or disconnection of the corresponding content links. The notice requires the signature of the rights holder in person, and if it is a company, it must be stamped with the company seal.

The notification shall include the following contents:

(1) Name (name), contact information, address, copy of ID card (natural person), and copy of unit registration certificate (unit) of the rights holder;

(2) The accurate name and network address of the infringing works that require deletion or disconnection of links;

(3) The preliminary proof materials that constitute infringement include but are not limited to proof of ownership of the copyright or lawful information network dissemination rights of the work, the creative manuscript, the timestamp of the work's creation issued by an authoritative institution, the work filing certificate, and a list of evidence to prove the fact of infringement.

6.2 Rights holder guarantees:

The rights holder shall be responsible for the authenticity of the notice. If the content of the notice is not true, the rights holder will bear all legal responsibilities arising therefrom.

7 Disclaimer

7.1 Backdrop does not declare or guarantee the correctness or reliability of any content, information, or advertisement contained, transmitted, connected, downloaded, or obtained from any network service related to this network; And Backdrop is not responsible for any products, information or materials purchased or obtained by users through advertisements or displays on this service. The user shall bear the risk of using this service on their own.

7.2 Backdrop does not guarantee the following matters (including but not limited to):

(1) Although the websites, clients, and other software provided by Backdrop have undergone Backdrop testing, due to the limitations of the technology itself, Backdrop cannot guarantee full compatibility with other software, hardware, and systems. If there is an incompatibility, users can report the situation to Backdrop for technical support. If the problem cannot be solved, users can choose to uninstall or stop using the Backdrop service.

(2) The use of Backdrop services involves Internet services and may be affected by unstable factors in various aspects. Due to force majeure, hacker attacks, system instability, network interruptions, user shutdowns, communication lines, and other reasons, Backdrop services may be interrupted or unable to meet user requirements. Backdrop does not guarantee that the Backdrop service is suitable for the user's usage requirements.

(3) Due to the fact that the client and other software provided by Backdrop can be downloaded and distributed through network channels, Backdrop cannot guarantee whether the Backdrop service related software downloaded from non Backdrop designated official sites or obtained through non Backdrop designated channels is infected with computer viruses, whether there are hidden Trojan horse programs or other hacker software, and does not assume any direct or indirect legal liability for damages suffered by users as a result.

(4) Backdrop does not guarantee any security, reliability, timeliness, or performance related to Backdrop services or products.

(5) Backdrop does not guarantee that any products, services, or other materials provided by it meet the expectations of users.

7.3 The user shall bear the risk of using any materials downloaded or obtained through Backdrop services, and shall be fully responsible for any damage to the user's computer system or loss of data resulting from such use

8 Changes, interruptions, and terminations of services

8.1 You understand and agree that Backdrop may make changes to the service content based on adjustments to its business strategy, and may also interrupt, suspend, or terminate the service.

8.2 You understand and agree that in the event of a merger, division, acquisition, or asset transfer of Backdrop, Backdrop may transfer the relevant assets under this service to a third party; Backdrop may also transfer some or all of the services and corresponding rights and obligations under this agreement to a third party for operation or performance upon unilateral notice to you.

8.3 You understand and agree that if you violate laws and regulations, this agreement and other Backdrop rules, social ethics, public order and good customs, and/or infringe on the legitimate rights and interests of others while using Backdrop services, Backdrop has the right to unilaterally suspend or terminate all or part of the services provided to you without notice.

8.4 You understand and agree that if you engage in behavior that violates laws and regulations, social morality, public order and good customs, and/or infringes on the legitimate rights and interests of others, and thus affects or may affect the reputation, reputation or other legitimate rights and interests of Backdrop and/or others, Backdrop has the right to unilaterally suspend or terminate all or part of the services provided to you without notice.

8.5 After Backdrop terminates providing services to you, it has the right to delete your personal information or anonymize it in accordance with applicable laws, and also has the right to continue storing other content and information that you have retained on our platform for the period and in the manner prescribed by law.
